End User License Agreement
1. Parties and scope
This agreement is between SGC ("we", "us") and the business that connects its QuickBooks Online company to the SGC Back-Office QuickBooks Integration (the "Integration"), including that business's authorized users ("you"). The Integration is a private component of the back-office service we provide to you under our service relationship; it is not a public product.
2. License
We grant you a non-exclusive, non-transferable right to use the Integration for your own internal business purposes for as long as we provide the back-office service to you. We retain all rights in the Integration's software and configuration.
3. Your responsibilities
- You confirm you are authorized to connect the QuickBooks company you connect.
- Access is limited to your authorized users; keep credentials confidential.
- You will not resell, sublicense, copy, or reverse-engineer the Integration, or use it to violate law or Intuit's terms.
4. Data
The Integration reads your QuickBooks data (read-only) to provide you reporting, as described in the Privacy Policy. QuickBooks remains your system of record. You may disconnect at any time (how disconnecting works).
5. Third parties
QuickBooks and QuickBooks Online are products and registered trademarks of Intuit Inc. We are not affiliated with, or endorsed by, Intuit Inc., and Intuit is not a party to this agreement. Your use of QuickBooks remains governed by your agreement with Intuit.
6. Disclaimer and liability
The Integration is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose. Reporting derived from mirrored data is informational and does not constitute accounting, tax, or legal advice. To the maximum extent permitted by law, our aggregate liability arising from the Integration is limited to the amounts you paid us for the service in the three months preceding the claim; we are not liable for indirect, incidental, or consequential damages.
7. Termination
Either party may end use of the Integration at any time; disconnecting revokes our access at Intuit. We may suspend the Integration for misuse, security risk, or as required by Intuit or law. Sections 4โ8 survive termination.
8. General
This agreement is governed by the laws of the State of Texas, USA, excluding conflict-of-law rules. If any provision is unenforceable, the remainder stays in effect. We may update this agreement; the effective date above reflects the current version. Contact: [email protected].
